Joom Intellectual Property Policy for Merchants

The policy of SIA Joom and its affiliates (“Joom” or “we”) is to respect intellectual property of others. Our goal is to ensure that our customers receive genuine goods and that rights holder’s rights are not infringed upon.

We have therefore implemented this policy that details how we prevent sale of counterfeit on the website located at https://www.joom.com or/and any other websites owned or operated by Joom or any portions thereof, including our mobile app “Joom”, any resources, features, functionality, or services made available through the Website and/or App (“Service”). This policy is an integral part of the Merchant Terms of Service which you (“you”) consent to when using our Service.

1. General

It is your liability to ensure that the items you are listing (including the images and the description of the items as well as any other information accompanying such listing) is not infringing any third party rights to intellectual property, including, but not limited to, rights to copyrighted works, trademarks and patents.

Nevertheless, Joom reserves the right to manually or automatically monitor the activities of you and merchants on the Service to ensure compliance with third party intellectual property rights and is actively enforcing such right to oversight.

2. Prohibited Activities

We take compliance with intellectual property rights very seriously. You must not infringe upon any third party intellectual property rights when using Service and offering items to the customers generally or to a specific customer in a specific country or city. Both when you authorize in order to use Service and when you list a specific item and/or sell a specific item to a specific customer you are required to ensure compliance with the present policy and any other policy applicable to the Service.

3. Our Measures to Ensure Compliance

3.1. Item Takedowns

We will take down item listing upon receiving requests from rights holders alleging the infringing nature of the items you listed and offer and you hereby authorize us to provide the information about you to the rights holders and their representatives in case they claim a breach of their rights.

You are obliged to immediately disable such item listing so that its status is “Out of stock”, as well as any other listings similar to the one disabled.

3.2. Exclusion from Search Results

We may at our own discretion decide to remove all or certain product listings from search results based on use of specific words associated with certain intellectual property, for example, from search results for “%BRAND% t-shirts”.

If you are affected by such measures, you may contact us in order to provide documented proof of your right to sell corresponding items using our Service.

3.3. Sanctions for Continuous IP Infringement

We implement certain mechanisms ensuring that merchants whose items were ever found or reported infringing are deprioritized in search results and/or fined in accordance with our policies. We will suspend and terminate repeat infringers of our intellectual property rules and policies according to the relevant policies. This will help create a fair marketplace where sellers of genuine products do not have to compete with knock-offs, while consumers may count on receiving authentic and safe products.

Penalty points accrued by you will prevent you from using some or all of your merchant privileges including, but not limited to, payment delay periods, ability to participate in promotions, moderation and support priority. We reserve the sole discretion to decide which restrictive measures to apply based on the penalty points accrued.

3.4. Use of Predictive Mechanisms for Proactive IP Enforcement

We employ predictive tools, such as image recognition software, to screen suspicious items on our Service and take down such listings.

If you are affected by such measures, you may contact us in order to provide documented proof of your right to sell corresponding items using our Service.

4. Intellectual Property Authorization

If you intend to list and/or sell any items that are subject to any intellectual property rights (either belonging to you or any third party), including, but not limited to, rights to copyrighted works, trademarks and/or patents, you must undergo the intellectual property authorization (hereinafter “IP Authorization”) procedure as laid out in this policy and as might also be instructed by us additionally.

It is your obligation to comprehensively verify whether the items you list and/or sell are subject to intellectual property rights. You are hereby deemed having actual or constructive knowledge of such facts and waive, to the extent allowed by the applicable law, your right to raise objections based on lack of knowledge.

Listing and/or sale of items subject to any intellectual property rights without receipt of our explicit confirmation that IP Authorization with respect to such items has been successfully completed is deemed breach of our Merchant Terms of Service and may result in a suspension / refusal to provide to you access to our Service.

In order to show that you have a right to list and/or sell items subject to intellectual property rights, you must demonstrate that you are either the owner of the relevant intellectual property or have an authorization or otherwise have the right to list and/or sell such items.

4.1. IP Owner Authorization

If you are the owner of the intellectual property used in the items you list and/or sell, you must provide to us a scan of a certificate confirming that you own the intellectual property in question.

You must also submit proof that you are the entity listed in such certificate.

4.2. Distributor

If you are authorized by the owner of the intellectual property to use such intellectual property, that is, acting as a distributor, please provide to us a proof of such authorization, such as:

  • Authorization certificates;
  • License agreements;
  • Distribution agreements;
  • Franchise agreements; or
  • Recent invoices for items you intend to sell.

Such proof shall explicitly name the intellectual property owner as the party providing the authorization. We will also request from you the intellectual property registration certificate and proof that you are the entity listed in the authorization document.

By undergoing this IP Authorization as a distributor, you warrant that at the time of such IP Authorization and at any time thereafter your authorization from the IP owner allows you to sell using our online Service and that you are authorized to list and/or sell items subject to intellectual property rights depending on your decision during the IP Authorization — either (i) worldwide, excluding the United States of America; and/or (ii) worldwide, including the United States of America.

4.3. Reseller

If you are authorized to use the relevant intellectual property by someone who is not the intellectual property owner itself, but authorized to do so by the intellectual property owner (for example, a distributor as explained above), that is, acting as a reseller for a distributor, please provide to us a proof of such authorization, such as:

  • Authorization certificates;
  • License agreements;
  • Distribution agreements;
  • Franchise agreements; or
  • Recent invoices for items you intend to sell.

Such proof shall explicitly name the  distributor as a party to such documents. We also require proof of authorization of the distributor by the intellectual property owner similar to the example above. Finally, we will request from you the intellectual property registration certificate and proof that you are the entity listed in the authorization document.

By undergoing this IP Authorization as a reseller, you warrant that at the time of such IP Authorization and at any time thereafter your authorization allows you to sell on our online Service and that you are authorized to list and/or sell items subject to intellectual property rights depending on your decision during the IP Authorization — either (i) worldwide, excluding the United States of America; and/or (ii) worldwide, including the United States of America. You further warrant that the same is true for the authorization granted by the intellectual property owner to the person who authorized you to use the relevant intellectual property and that they are not prohibited from sublicensing such a right.

5. DMCA Counter-Notifications

If your item listing was taken down pursuant to a Digital Millennium Copyright Act notification of alleged copyright infringement, we will promptly contact you to provide you with a copy of the relevant notification and provide all your contact information to the relevant third party, claiming the infringement.

If you have good faith belief that the listing was removed as a result of mistake or misidentification, you may file a DMCA counter-notification to our DMCA Designated Agent (see below for contact details).

Each counter-notification sent to us shall contain the following:

  • Your name, address, and telephone number;
  • Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled;
  • A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled;
  • A statement that you consent to the jurisdiction of U. S. Federal District Court for the judicial district in which your address is located, or if your address is outside of the United States, of the United States District Court for the District of Delaware, and that you will accept service of process from the person who provided the original notification or an agent of such person; and
  • Your physical or electronic signature.

If your counter-notification fails to comply with the above requirements, we will not be able to properly process such counter-notification. We reserve the right to nevertheless act on such deficient counter-notification submitted by you, however, such counter-notification is deemed amended to comply with the above requirements, to which you consent by using our Service.

We will promptly send a copy of the counter-notification to the person who provided the original notification or an agent/representative of such person. We will replace the removed material or cease disabling access to it on or after 10 business days following receipt of the counter-notification, unless our Designated Agent receives a notification from the person who submitted the original notification that such person has filed an action seeking a court order to restrain you from engaging in infringing activity relating to the material on our Service.
