Joom Ads Terms of Service

These Joom Ads Terms of Service (the “Terms”) contain the terms and conditions that govern the Merchant’s access to and use of services (the “Services”) relating to the advertising of goods and services via Joom Ads (as defined below) on the points of sale operated by SIA Joom (“Joom”). These Terms supplement the existing terms of service (the “Terms of Service”) according to which the Merchant (as defined below) places and sells the goods through the Site (as defined below). By using the Services, the Merchant agrees to be bound by these Terms. In the event of conflict between these Terms and the Terms of Service, these Terms shall apply.

1. Definitions

Site” means joom.com and/or Joom mobile applications.

Good” shall mean any good available for sale on the Site.

Merchant” means a merchant placing and/or selling Goods.

Campaign” means a combination of settings chosen by the Merchant via Joom Ads which defines an automated advertising process.

Joom Ads” means a set of automatic methods available to the Merchant using the Services to create and manage the Campaign.

Ad” means the Good advertised via Joom Ads.

User Click” means click of the Ad by the user of the Site.

Bid” means Joom’s remuneration for providing the Services to the Merchant. Bid shall be equal to the maximum percent of the Good’s price which the Merchant is ready to pay in case of the Good’s sale within 14 (fourteen) calendar days after the User Click. The Merchant indicates the Bid via “Joom Ads” section of the Merchant’s account on the Site. For the purpose of these Terms the Good’s price shall be understood as the price including the percentage which the Merchant pays to Joom for the sale of the Good, but excluding the logistics costs.

Intellectual Property Right” means any patent, copyright, trademark, domain name, moral right, trade secret right, or any other intellectual property right.

Materials” means any content, information, data, images, videos and other materials provided or made available by the Merchant to Joom in connection with the Services.

2. Joom Ads Services

The Services will allow the Merchant to create and manage the Campaigns.

Each Campaign has a name which the Merchant assigns to it in the process of creation and ID which is assigned to the Campaign automatically by Joom.

Each Campaign will be launched automatically when the Merchant presses the button “Launch the campaign”. Information on each launched campaign is available for the Merchant in the “Joom Ads” section of the Merchant’s account on the Site.

Without limiting the Merchant’s responsibility for the Materials and the Merchant’s use of the Services, Joom reserves the right to determine and control all aspects (including all functionality) of the Services and/or restrict the Merchant’s access to the Service at any time at Joom’s sole discretion without any notice to the Merchant. However, Joom will not conduct routine monitoring or control of the Materials made available by the Merchants and to be displayed in the framework of a Campaign, or the Goods they are associated with. The Merchant is fully liable for the Materials provided to Joom. Joom may at any time suspend rendering the Services, reject or remove any of the Materials or Ads without any notice to the Merchant, in particular if it incidentally becomes aware of any potentially illicit Material.

3. Merchant’s Rights

The Merchant has the following rights while using the Services:

  1. The Merchant is entitled to determine the duration of the Campaign in the course of the Campaign creation;
  2. The Merchant can suspend the Campaign at any time. In case an end date of the Campaign is not assigned to it by the Merchant, the Merchant may renew it at any time. In case the Campaign has an end date, the Merchant can restart it only before an end date.
  3. The Merchant may determine the content of the Campaign before the Campaign’s launch by adding the Goods to the Campaign. If a certain Good couldn’t be advertised/promoted via Joom Ads, Joom will inform the Merchant that the mistake has arisen with adding this Good to the Campaign.

4. Financial Conditions

For the sale of the Good following the User Click, the Merchant is obliged to pay the Bid to Joom. Each Campaign shall have a daily budget determined by the Merchant. A daily budget shall be equal to the aggregate of Bids charged by Joom per day for the provision of the Services. In case the Campaign does not have an end date, its total budget shall be equal to the number of the Campaign’s days multiplied by its daily budget.

Joom reserves the right not to charge the Bid for a certain number (determined by Joom at its sole discretion without notice to the Merchant) of the sales of Goods via Joom Ads for new Merchants using Joom Ads as an incentive to use Joom Ads, but the application of this promotional measure is Joom’s right, not an obligation.

If the order of the Goods is cancelled by the user of the Site or by the Merchant, the Bid is not subject to return to the Merchant.

The Bid already paid to Joom in connection with the suspended/cancelled Campaign will not be refunded, and the Bid to be paid in connection with the cancelled Campaign shall be attributed to the date of the User Click (in which case the daily budget indicated by the Merchant may increase) and shall be payable to Joom after cancellation of the Campaign.

For any amounts the Merchant owes to Joom, Joom may (a) offset any amounts due and payable by the Merchant to Joom against any payments Joom is obliged to make to the Merchant in connection with the Merchant’s use of the Site, or (b) invoice the Merchant for amounts due to Joom under these Terms, in which case the Merchant shall pay the invoiced amounts within 7 (seven) calendar days from the invoice date. In case the amount due for payment under the invoice for the respective reporting period differs from the amount for the same period indicated in the Merchant’s account, the information and the amount provided in the invoice shall prevail. The Merchant shall reimburse Joom for all fees incurred in connection with collection of the amounts owed by the Merchant to Joom. The Merchant hereby waives all claims related to Bids calculation, unless made within 7 (seven) days after the date of charge of the Bid.

5. Ad

The Ad may be displayed on any part of the Site as Joom may determine. Except as otherwise agreed upon, Joom does not guarantee that the Ad will be displayed on or made available through any portion of the Site, nor does Joom guarantee that the Ad will appear in any position or rank. In addition, Joom does not guarantee any impressions from the display of the Ad or any sales of the Goods as a result of rendering the Services. The Merchant is solely responsible for all obligations, risks, liabilities and other aspects arising out of or related to providing the Materials and/or use of the Services.

6. Merchant’s Eligibility

Any Merchant is entitled to request the Services from Joom. Joom is not obliged to provide any Merchant with the Services upon the Merchant’s request. Provision of the Services is a Joom’s right, not an obligation and may be realized by Joom at its sole discretion.

7. Goods’ Eligibility

All Goods which comply with the requirements of these Terms, the Terms of Service and applicable policies of Joom can be advertised and/or promoted via Joom Ads.

Goods which don’t meet the requirements of these Terms, the Terms of Service, applicable Joom policies, goods for adults and other prohibited or restricted goods shall be considered as goods prohibited for advertising and promotion via Joom Ads.

8. Merchant’s Materials

The Materials shall be provided or made available to Joom in connection with the Services in the format and using the interface, feeds, APIs or other mechanisms Joom requires. The Materials shall be complete, accurate and up-to-date, and the Merchant shall promptly update the Materials as necessary to ensure the mentioned requirements. It is Merchant’s responsibility to keep back-ups of the Materials, and Joom is not responsible for any loss/potential loss of any Materials or any Merchant’s information for any reason. In addition, the Merchant hereby consents to Joom (1) sending to the Merchant e-mails relating to the Services from time to time; and (2) recording, using, and disclosing the information contained in or about the Materials and the Ads that Joom obtains in connection with the Merchant’s use of the Services.

The Merchant shall ensure that the Materials do not relate to, contain, or otherwise seek to advertise or promote any goods or services that are prohibited by these Terms, the Terms of Service and other applicable Joom policies. The Merchant shall not, directly or indirectly, engage in any fraudulent, impermissible, inappropriate or unlawful activities in connection with the Merchant’s use of the Services, including: (a) generating fraudulent, repetitive or otherwise invalid clicks, impressions, queries or other interactions, whether through the use of automated applications or otherwise; (b) collecting any User information from any Site or retrieving, extracting, indexing or caching any portion of any Site, whether through the use of automated applications or otherwise; (c) submitting any of the Materials that are inappropriate, obscene, defamatory or unlawful, or that infringe or misappropriate the proprietary rights, including Intellectual Property Rights, of any third party; (d) engaging in any acts or practices that are unfair or deceptive in connection with the Ad, including submitting any of the Materials that are unfair, deceptive, misleading, or that contain false or inaccurate information or unsubstantiated claims; (e) targeting communications of any kind on the basis of the intended recipient being a user of the Site; (f) interfering with the proper working of the Site, the Services or any Joom’s systems; (g) transmitting any viruses, “Trojan horses” or other harmful codes; or (h) attempting to bypass any mechanism Joom uses to detect or prevent the activities listed in this Section 8.

9. License

The Merchant hereby grants to Joom a royalty-free, non-exclusive, worldwide, perpetual, irrevocable right and license to use, reproduce, perform, display, distribute, adapt, modify, excerpt, analyze, re-format, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, any and all Materials, and to sublicense the foregoing rights in connection with the Services; provided that nothing in these Terms shall prevent or impair the Joom’s right to use the Materials without the Merchant’s consent to the extent that such use is allowable without a license from the Merchant and/or its affiliates under applicable law.

10. Modification

Joom may modify these Terms at any time and at Joom’s sole discretion. Any modifications will be effective upon the posting of new Terms on the Site. The Merchant is responsible for reviewing and monitoring changes to the Terms and hereby waives any claims it may have towards Joom due to changes made to these Terms. Modifications may include, but not limited to changes in payment procedures or features of the Services. If any modification of the Terms is unacceptable for the Merchant, the Merchant can stop using the Services. If the Merchant continues using the Services following the publication of the amended version of the Terms on the Site, the Merchant shall be deemed to have accepted the amended Terms.

11. Limitation of Liability

To the maximum extent permitted by law, Joom hereby expressly disclaims any and all warranties, express or implied, including but not limited to any warranties of condition, quality, durability, performance, accuracy, reliability, merchantability or fitness for a particular purpose. All such warranties, representations, conditions, and undertakings are hereby excluded.

To the maximum extent permitted by law, Joom makes no representations or warranties about the validity, accuracy, correctness, reliability, quality, stability, completeness or correctness of the Services or any information provided by it.

Joom does not represent or warrant that the manufacture, importation, export, distribution, offer, display, purchase, sale and/or use of Goods or Services offered by it does not violate any third-party rights; and Joom makes no representations or warranties of any kind concerning any product or service offered by it.

12. Force Majeure

Under no circumstances shall Joom be held liable for any delay or failure of shipping resulting directly or indirectly from acts of nature, forces or causes beyond Joom’s reasonable control, including without limitation, internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals or non-performance of third parties.

13. Governing Law

These Terms shall in all respects be interpreted and governed by the laws of England and Wales.
